Service Agreement (Full Legal Version)
This Service Agreement (“Agreement”) is entered into between Cenra Solutions, an IT service provider based in Lincoln, Nebraska (“Provider”), and the individual or business identified above (“Client”).
1. Services Provided
Cenra Solutions will perform IT services including but not limited to:
- Device setup and repair
- Software installation and configuration
- Network troubleshooting and optimization
- Data backup guidance
- System upgrades
- General IT consulting
A detailed description of services and project scope (if applicable) will be outlined in a separate quote or scope document prior to service.
2. Estimates and Quotes
- Individuals: Estimates may be provided verbally or via text/email.
- Businesses: Written quotes will be provided for approval prior to service.
- Quotes are valid for 14 days unless otherwise stated.
3. Payments
- Accepted payment methods: Cash, electronic payment, or invoice.
- Deposits: Required for large-scale projects or business clients, as defined in the quote.
- Invoices are due within 10 business days unless otherwise agreed in writing.
- Late payments may incur a fee of $15 or 5% of the invoice, whichever is higher.
4. Liability & Warranty
Client agrees that services are performed on an as-is basis.
Cenra Solutions is not liable for:
- Pre-existing damage
- Data loss or corruption
- Equipment failure due to manufacturer or software issues
Any recommendations or installations are offered in good faith, but ultimate responsibility lies with the Client to back up data and confirm compatibility.
Hold Harmless Clause: Client agrees to hold Cenra Solutions harmless from any loss or damage arising from or related to services provided, except in cases of proven gross negligence.
5. Right to Refuse Service
Cenra Solutions reserves the right to decline or discontinue service:
- If the requested task poses a legal, safety, or ethical concern
- If sensitive data such as HIPAA-regulated content is involved
- If communication is abusive or uncooperative
6. Data Handling and Privacy
- Cenra Solutions does not retain, store, or backup Client data.
- Any data accessed is solely for the duration of service and will not be copied, transmitted, or stored after the session ends.
A formal Privacy Policy is available separately and incorporated by reference.
7. Cancellation and Refund Policy
- Cancellations with less than 24 hours' notice may incur a fee.
- Refunds are only issued if service was not rendered or completed, or at the sole discretion of Cenra Solutions.
- Deposits are non-refundable unless otherwise stated in the quote.
8. Dispute Resolution
- Attempt informal resolution first
- Use mediation before any legal action
- File any legal claims in small claims court in Lancaster County, Nebraska
9. Independent Contractor
Cenra Solutions operates as an independent contractor and is not an employee of the Client. No partnership or employment relationship is implied or created.
10. Agreement Acceptance
By accepting service, quote, or invoice, or by signing below, the Client agrees to all terms outlined in this Agreement.
